4. Scope of Services

5. Client Obligations
Timely Provision of Information: Clients must provide all necessary materials, information, and access to systems as required to complete the project.
Compliance with Laws: Clients must ensure that any content or data provided does not violate applicable laws or regulations.
6. Payment TermsServices can be rendered on an hourly rate or per a package pricing, depending on the client’s requests.
Hourly Rate Services:
Services are billed at an hourly rate as agreed with the client.
Invoices are issued weekly and must be paid within 7 days of receipt.
Hour registration will be provided as proof of hours worked.
Package Pricing:
For fixed-price projects, 50% of the total amount is due upfront, and the remaining 50% is due upon project completion.
Payment must be made within 7 days of invoicing.
7. Project Terms
Project Commencement: Projects begin once all necessary materials are received and the initial payment is made, unless an hourly rate is charged.
Revisions and Changes: Any changes to the project scope may incur additional fees. All changes must be agreed upon in writing.
Delivery and Acceptance: Final deliverables will be provided in the agreed-upon format. Clients must review and accept the deliverables within 7 days.
8. Termination and Cancellation
Termination by Agency: We reserve the right to terminate the agreement if the client fails to comply with the terms or delays the project unreasonably.
Termination by Client: Clients may terminate the agreement by providing 10 days' notice. Any work completed up to the termination date will be billed.
Refunds: Refunds for advance payments will be considered on a case-by-case basis, depending on the work completed and expenses incurred.
9. Intellectual Property
Ownership of Deliverables: Upon full payment, clients receive ownership of the final deliverables. However, we retain the right to showcase the work in our portfolio.
Use of Client Materials: Any materials provided by clients remain their property and will only be used for the purposes of the project.
10. Confidentiality
Confidential Information: Both parties agree to keep all confidential information shared during the project strictly confidential.
Data Protection: We adhere to industry-standard practices to protect client data from unauthorized access or disclosure.
11. Liability and Indemnification
Limitation of Liability: Our liability is limited to the amount paid by the client for the services provided. We are not responsible for any indirect or consequential damages.
Indemnification Clause: Clients agree to indemnify and hold us harmless from any claims, damages, or liabilities arising from their use of our services or any breach of the terms.
12. Dispute Resolution
Governing Law: These terms are governed by the laws of the Netherlands.
Dispute Resolution: Any disputes will be resolved through mediation. If mediation fails, disputes will be settled in the courts of Utrecht, Netherlands.
13. Miscellaneous Provisions
Force Majeure: We are not liable for any failure to perform due to events beyond our control, such as natural disasters or significant disruptions.
Entire Agreement: These Terms of Service constitute the entire agreement between the parties and supersede any prior agreements.
Amendments: We reserve the right to amend these terms at any time. Clients will be notified of any changes.
